Terms of Service

Ordersini.asia – Operated by Netdesk Solution, Malaysia

1. Introduction

These Terms of Service (“Terms”) govern your use of Ordersini.asia (the “Platform”), a multi-restaurant food ordering system operated by Netdesk Solution (“we”, “us”, or “our”). By accessing or using the Platform, you agree to comply with these Terms.

These Terms apply to all Users, including:

  • Customers placing orders

  • Vendors/Merchants listing products

  • Delivery Riders facilitating order deliveries

If you do not agree, you must immediately stop using the Platform.

2. Definitions

  • Customer: An individual placing an order through the Platform.

  • Vendor/Merchant: A business or individual offering food or products on the Platform.

  • Delivery Rider: An individual or third-party responsible for delivering orders.

  • Order: A transaction processed through the Platform.

  • Subscription/Payment Plan: One-time payment made by Vendors for Platform access.

  • Platform Data: Any information collected, generated, or stored on the Platform.

3. Eligibility

You must:

  • Be at least 18 years old;

  • Have legal capacity to enter into binding agreements;

  • If representing a business, be authorized to act on its behalf.

4. User Accounts

  • Registration: Users must provide accurate, current information.

  • Security: You are responsible for maintaining confidentiality of your account credentials.

  • Termination: We may suspend or terminate accounts for violation of Terms, fraud, or illegal activity.

5. Customer Use

  • Ordering: Customers may place orders from Vendors listed on the Platform.

  • Payments: All payments are made directly to Vendors; Ordersini does not handle customer payments.

  • Delivery: Hybrid model — either via Vendors or Ordersini Riders.

  • Product Accuracy: Vendors provide pricing, menus, and availability. Ordersini is not responsible for inaccuracies.

6. Vendor Use

  • Payment Plan: Vendors pay a one-time subscription to access the Platform.

  • No Service Fees: Ordersini does not charge transaction or service fees; Vendors collect customer payments directly.

  • Vendor Responsibilities:

    • Provide accurate menus and stock

    • Ensure food safety, hygiene, and legal compliance

    • Process orders promptly

    • Respond to customer complaints

  • Penalties: Misconduct or repeated failures may lead to suspension or account termination.

7. Delivery Riders

  • Riders may be provided by Vendors or by Ordersini (hybrid model).

  • Riders must comply with delivery standards, safety protocols, and the Delivery Rider Agreement.

  • Platform liability is limited for delays, accidents, or misconduct by riders.

8. Prohibited Conduct

Users may not:

  • Engage in illegal, fraudulent, or abusive conduct

  • Upload malicious code

  • Misuse the Platform or POS system

  • Violate intellectual property rights

9. Intellectual Property

  • Platform content, software, and branding belong to Netdesk Solution.

  • Vendors retain rights to their own menus, images, and trademarks but grant a license to display them on the Platform.

10. Limitation of Liability

Ordersini shall not be liable for:

  • Food quality or safety

  • Delivery delays or failures

  • Vendor misconduct

  • Losses or damages arising from Platform use

Maximum liability is limited to the Vendor’s one-time subscription fee.

11. Indemnification

Users agree to indemnify and hold Ordersini harmless from claims, damages, or losses arising from:

  • Misuse of the Platform

  • Violation of these Terms

  • Breach of Malaysian laws

12. Refunds & Cancellations

  • Governed by the Refund & Cancellation Policy (see separate document).

  • Vendors and Customers must comply with those procedures.

13. Termination

Ordersini may suspend or terminate access for:

  • Breach of Terms

  • Fraud

  • Legal violations

  • Customer or Vendor safety concerns

Termination does not absolve Users from outstanding obligations.

14. Governing Law & Jurisdiction

These Terms are governed by Malaysian law.
All disputes fall under the exclusive jurisdiction of Malaysian courts.

15. Amendments

Ordersini reserves the right to amend or update these Terms.
Continued use of the Platform constitutes acceptance of such changes.
